Welcome to Palvion Tech Private Limited. By accessing our website, engaging our services, or utilizing our software products, you agree to be bound by these strictly enforced Terms and Conditions. If you do not agree, please refrain from using our services.
All project deliverables will be strictly limited to the features outlined in the initial signed Proposal or Statement of Work (SOW). Any additional features, revisions, or structural changes requested after the project has commenced are considered "Out of Scope" and will be billed separately at our standard hourly or milestone rates.
Clients must provide necessary assets (logos, server credentials, content) in a timely manner. If a client fails to communicate or provide required feedback for a period exceeding 30 consecutive days, the project will be classified as "Dormant." To resume a dormant project, Palvion Tech reserves the right to charge a Reactivation Fee and recalculate timelines based on current availability.
4.1 Standard Software License: The base pricing of our projects covers the development, deployment, and the client's right to use the compiled software. Palvion Tech Private Limited retains full legal ownership and copyright of the original source code, proprietary logic, and underlying architectures.
4.2 Source Code Delivery & Vendor Transfer: If the client requests the uncompiled source code or intends to transfer ongoing development to another agency, a Source Code Transfer Fee (Premium Pricing) will be applied. The total cost of the project will increase, and the code will only be handed over once this premium fee is cleared in full.
4.3 Restriction on Commercial Exploitation: The client is strictly prohibited from reselling, white-labeling, or using the delivered codebase to create a competing commercial product without the explicit, prior written consent of Palvion Tech Private Limited. A separate Commercial Licensing Agreement is required for such operations.
6.1 Post-Launch Support: Palvion Tech provides a standard 30-day bug-fixing window post-deployment. After this period, any technical support, updates, or server management will require an active Annual Maintenance Contract (AMC).
6.2 Third-Party Liabilities: Our platforms may integrate with third-party APIs (e.g., Payment Gateways, SMS gateways, Cloud Providers). We are not liable for any downtime, data loss, or business interruption caused by the failure, policy changes, or deprecation of these external third-party services.
While we engineer high-performance applications, the client is solely responsible for maintaining regular backups of their operational database and user content. Palvion Tech Private Limited shall not be held liable for any indirect, incidental, or consequential damages, including loss of profits or data breaches, arising from the use of our software.
Either party may terminate a project with a 30-day written notice. Upon termination, Palvion Tech shall be compensated for all engineering hours logged up to the termination date. Palvion Tech reserves the right to withhold code or server access until all pending dues are cleared.
These terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of these terms shall be subject to the exclusive jurisdiction of the courts located in Chhindwara, Madhya Pradesh.
